DFY Setters Pay Per Performance Agreement

This Agreement ("Agreement") is entered into by and between Unleashed Coaching Academy LLC, doing business as

EverydayEntrepreneurs.co, with its principal place of business located at 15400 Lakeshore Drive, Piedmont, OK, 73078 ("Company"), and the client purchasing the services ("Client").

1. **Term of Agreement**

1.1 This Agreement shall commence on the date of purchase and shall continue until terminated in accordance with the terms of this Agreement.

2. **Scope of Work**

2.1 The Company agrees to provide digital marketing and direct outreach services to find and Qualified Leads for the Client's business. After completing the purchase, the Client will be assigned a Setter Team in the following days.

2.2 The Company will set up the APTS strategy and optimize Setter profiles on Facebook, LinkedIn, and Instagram. The Client may provide graphics and post content as examples.

2.3 The Company will conduct organic outreach on Facebook, LinkedIn, and Instagram.

2.4 The Client will provide keywords and a group list relevant to the Client's niche marketing.

2.5 The Company will write scripts and perform optimization testing routinely to maximize performance.

2.6 The Company will provide a Manager to manage the campaign and track setters' performance and KPI sheets.

2.7 The Company will book as many calls per month as possible as defined by the Client's goals.

2.8 A Qualified Lead is defined as a prospect who has confirmed a scheduled appointment, expressed a clear need for Client's service/product, and confirmed they are willing to invest in Client's service/product if it is a good fit.

3. **Investment**

3.1 The Client agrees to pay a non-refundable one-time setup fee for each setter.

3.2 After the initial setup, the Client agrees to pay the agreed amount per qualified show-up appointment. Payment for show-up appointments will occur on the 1st of each month.

3.3 The Client may retains access to the appointment setter on a pay-per-qualified-show-up appointment model, without needing to pay the setup fee again until the contract is terminated.

4. **Responsibilities**

4.1 The Company is responsible for providing a qualified setter, optimizing profiles, conducting organic outreach, providing keywords and group lists, writing scripts, performing AB testing, and managing the campaign through a VA Manager.

4.2 The Client is responsible for providing accurate information about their offer and target audience, supplying necessary graphics and post content, and dedicating time to work closely with the setter and VA Manager.

5. **Confidentiality**

5.1 Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the term of this Agreement.

6. **Termination**

6.1 The Company may terminate this Agreement immediately if the Client fails to make payments as agreed.

6.2 Upon termination, the Company shall be entitled to payment for all services rendered up to the date of termination.

7. **Dispute Resolution**

7.1 Any disputes arising out of or related to this Agreement shall be resolved through mediation. If mediation fails, the dispute shall be resolved through binding arbitration in Canadian County, Oklahoma, United States.

8.**Force Majeure**

8.1 No Party shall be liable or responsible to the other Party, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement (except for any obligations to make previously owed payments to the other Party hereunder) when and to the extent such failure or delay is caused by or results from acts beyond the impacted Party’s (“Impacted Party”) reasonable control, including, without limitation, the following force majeure events (“Force Majeure Event(s)”) that frustrates the purpose of this Agreement: (a) acts of God; (b) flood, fire, earthquake or explosion; (c) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (d) government order or law; (e) actions, embargoes or blockades in effect on or after the date of this Agreement; (f) action by any governmental authority; (g) national or regional emergency; (h) strikes, labor stoppages or slowdowns or other industrial disturbances; (i) epidemic, pandemic or similar influenza or bacterial infection (which is defined by the United States Center for Disease Control as virulent human influenza or infection that may cause global outbreak, or pandemic, or serious illness); (j) emergency state; (k) shortage of adequate medical supplies and equipment; (l) shortage of power or transportation facilities; and (m) other similar events beyond the reasonable control of the Impacted Party.

**Agreement to Terms**

By processing this payment, the Client acknowledges and agrees to the terms and conditions set forth in this Agreement.
